These Platform Terms (the "Terms") govern your use of the Kater platform. Please read them before you use it. By creating an account, placing an order, or otherwise using the platform, you agree to these Terms. If you do not agree, you should not use the platform.
These Terms are the general terms for individual users of the platform. Where your employer has a separate signed agreement with Kater, that agreement governs the relationship between Kater and your employer. These Terms still govern your own individual use.
1. Who we are
The platform is operated by KOOK Technologies Limited, a company registered in Ghana with registered office at D67 Tse Addo High Street, Accra ("Kater", "we", "us", "our"). You can reach us at support@kater.so.
2. Definitions
Platform means Kater's websites, mobile applications, and related services.
Hub means a building-level or office-level Kater food hub where Users order Meals from participating Vendors for delivery to a shared drop-off point at that building.
Vendor means a restaurant, caterer, kitchen, or other food business that offers Meals for sale through the platform.
Meal means any food or drink item a Vendor offers through the platform.
User ("you") means any person who uses the platform, including a person ordering through a Hub or through an employer's Platform Access.
Order means an order for one or more Meals that you place with a Vendor through the platform.
Sales Agreement means the contract for the sale of the Meals, formed directly between you and the Vendor when the Vendor confirms your Order.
Order Price means the total amount payable for an Order, including the price of the Meals and any applicable taxes and fees shown to you before you confirm.
Meal Package means a prepaid bundle of Meals or Meal credit that you buy in advance, where offered.
3. What Kater does, and what it does not do
Kater operates the platform as a marketplace that connects you with Vendors. Kater is not a restaurant and does not cook, prepare, sell, or deliver Meals.
When you place an Order, the contract to buy the Meals is made directly between you and the Vendor. Kater is not a party to that contract. Kater acts as the Vendor's agent for the limited purposes of presenting the Vendor's Meals, receiving your Order, and collecting payment on the Vendor's behalf.
Vendors are responsible for preparing and delivering their own Meals. Kater does not provide delivery services and does not employ couriers.
4. Your account
To use the platform you may need to create an account. You agree to give accurate information and keep it up to date. You are responsible for activity under your account and for keeping your login details secure. You must be old enough under Ghanaian law to enter into a binding contract. You may hold only one account unless we agree otherwise.
5. Ordering through a Hub
You can browse participating Vendors at your Hub and place an Order. To keep ordering simple, each Order is placed with a single Vendor.
A Vendor may be shown as unavailable, or may mark certain days or items as closed or sold out. If a Vendor cannot fulfil your Order, it will not be confirmed, and you will not be charged, or you will be refunded for any amount already taken.
Your Sales Agreement with the Vendor is formed when the Vendor confirms your Order. Meal descriptions, images, and prices are provided by the Vendor. If you have allergies or specific dietary needs, you should check with the Vendor before ordering, as Kater does not prepare the Meals and cannot confirm their contents.
6. Delivery
Vendors deliver their own Meals to the drop-off point at your Hub building.
Any delivery time shown to you is an estimate only and is not guaranteed. Delivery may be affected by traffic, weather, and other factors outside Kater's and the Vendor's control.
7. Prices, payment, and Meal Packages
The Order Price is shown to you before you confirm your Order. Prices on the platform may differ from a Vendor's in-store prices and may change from time to time before you order.
Payments are processed through a third-party payment provider. By confirming your Order, you authorise us to charge your chosen payment method for the Order Price. Acting as the Vendor's agent, Kater collects the Order Price from you on the Vendor's behalf. Your payment obligation to the Vendor is met once payment has been taken by Kater.
8. Cancellations, refunds, and complaints
Once you have confirmed and paid for an Order, you may not cancel it, except where the Vendor is unable to fulfil it or where required by law.
If something is wrong with your Meal or its delivery, please tell us through the platform as soon as you can, and in any event within 24 hours of delivery. We may ask for a photo or other details. Where we have good reason to believe a complaint is justified, we may provide a refund or account credit for the affected Meal or delivery. This is a discretion Kater exercises to help resolve issues; the underlying responsibility for the Meal remains the Vendor's.
9. Vendor responsibility and Kater's role
The Vendor is solely responsible for its Meals, including their quality, quantity, safety, temperature, ingredients, allergen information, packaging, hygiene, and delivery, and for complying with all applicable food safety and other laws, including the requirements of Ghana's Food and Drugs Authority.
To the fullest extent permitted by Ghanaian law, Kater is not responsible or liable for the Meals or their delivery, including for any defect, shortage, delay, illness, allergic reaction, or other harm arising from them. Any claim about a Meal is a matter between you and the Vendor. Nothing in these Terms limits Kater's liability for fraud, or for death or personal injury caused by Kater's own negligence, or for anything else that cannot be limited under Ghanaian law.
10. Acceptable use
When using the platform, you agree not to:
use it for any unlawful, fraudulent, or harmful purpose;
interfere with or disrupt the platform or its security;
copy, scrape, or extract data from the platform except as needed to use it normally; or
reverse-engineer, decompile, or attempt to access the platform's source code.
We may suspend or restrict your access if you break these rules.
11. Portals (employer software)
Some employers use Kater as software only ("Portals") and bring their own vendors. If you use the platform through your employer's Portal, the commercial arrangement between Kater and your employer, and between your employer and its vendors, is governed by separate agreements. These Terms continue to govern your own individual use of the platform, and the same position applies: the contract for any Meal is between you (or your employer's chosen arrangement) and the vendor, not with Kater.
12. Intellectual property
The platform and its content belong to Kater or its licensors. We grant you a limited, revocable, non-exclusive, non-transferable licence to use the platform for ordering Meals for your own use. You may not use it for any other purpose.
13. Privacy
We handle personal data in line with our Privacy Policy and Ghana's Data Protection Act, 2012 (Act 843). Please read the Privacy Policy to understand how your data is collected and used.
14. Availability of the platform
The platform is provided on an "as is" and "as available" basis. To the extent permitted by Ghanaian law, we do not warrant that it will be uninterrupted, error-free, or always available, and we may change, suspend, or withdraw features from time to time.
15. Limitation of liability
To the fullest extent permitted by Ghanaian law:
Kater is not liable for the Meals or their delivery, as set out in section 9;
Kater is not liable for indirect or consequential loss, or for loss of profit, data, or goodwill; and
Kater's total liability to you arising from your use of the platform is limited to the amount you paid through the platform for the Order giving rise to the claim.
Nothing in these Terms excludes liability that cannot be excluded under Ghanaian law.
16. Suspension and termination
You may stop using the platform at any time. We may suspend or end your access with immediate effect if you break these Terms, misuse the platform, or where we reasonably suspect fraud. Sections that by their nature should continue after termination (including sections 9, 12, and 15) will survive.
17. Changes to these Terms
We may update these Terms from time to time. We will post the updated Terms on the platform and, where the change is material, take reasonable steps to notify you. If you continue to use the platform after an update takes effect, you accept the updated Terms.
18. Governing law and disputes
These Terms, and any dispute arising from them or from your use of the platform, are governed by the laws of Ghana. The courts of Ghana have jurisdiction, and the parties may also resolve disputes through mediation or arbitration under the Alternative Dispute Resolution Act, 2010 (Act 798) where they agree to do so.
